Terms & Conditions of Sale
1. Application of Terms
These Terms and Conditions apply to all sales of goods and services by Azzurra Imports Pty Ltd (ABN 56 092 400 756) (“Azzurra”, “we”, “us”) to the customer (“Customer”). These Terms prevail over any terms proposed by the Customer unless expressly agreed in writing by an authorised officer of Azzurra. Azzurra may amend these Terms from time to time by publishing updated terms on its website.
2. Orders
All quotations are invitations to treat only and do not constitute offers. Orders are subject to acceptance by Azzurra in whole or in part. Azzurra reserves the right to refuse or cancel any order at its discretion.
3. Pricing
All prices are in Australian Dollars and exclusive of GST, freight, duties and other charges unless stated otherwise. Prices are subject to change without notice, however prices for accepted orders will remain firm. Any discounts, rebates or allowances apply only if expressly agreed in writing.
4. Payment Terms
Unless otherwise agreed in writing, payment terms are 30 days from the date of invoice. Azzurra may suspend supply, cancel orders, or require cash payment if accounts become overdue. Overdue amounts may accrue interest at 5% per month calculated daily.
5. Delivery
Delivery dates are estimates only and delays do not constitute a breach of contract. Risk in the goods passes to the Customer upon delivery to the nominated address. Azzurra may deliver goods in instalments.
6. Inspection, Claims and Returns
The Customer must inspect goods on delivery and notify Azzurra in writing of any defects or shortages within 7 days. Returns require prior written authorisation and must be returned freight prepaid within the agreed timeframe. Custom or special-order goods are non-returnable.
7. Title and Security Interest
Title to goods remains with Azzurra until all amounts owing by the Customer are paid in full. Until title passes, the Customer holds the goods as bailee, must keep them identifiable, insured, and free from encumbrances. Azzurra may repossess goods if payment is overdue or the Customer becomes insolvent.
8. Warranties
Goods are supplied with the benefit of any manufacturer warranties where applicable. Except as required by Australian Consumer Law, all other warranties are excluded.
9. Limitation of Liability
To the extent permitted by law, Azzurra’s liability is limited to repair, replacement or refund of the goods. Azzurra is not liable for indirect, consequential or economic loss.
10. Force Majeure
Azzurra is not liable for failure or delay caused by events beyond its reasonable control including supply chain disruption, strikes, natural disasters or government action.
11. Insolvency
If the Customer becomes insolvent, enters administration, or fails to pay amounts due, Azzurra may suspend supply, cancel orders, and recover possession of goods.
12. Recovery Costs
The Customer indemnifies Azzurra for all costs incurred in recovering overdue amounts, including legal costs on a solicitor and own client basis.
13. Confidentiality and Advertising
The Customer must not disclose Azzurra’s confidential information or advertise Azzurra products without prior written consent.
14. Governing Law
These Terms are governed by the laws of Australia and the courts of the relevant State or Territory have exclusive jurisdiction.
15. Entire Agreement
These Terms constitute the entire agreement between the parties and supersede all prior representations or agreements.
